Terms of Service
These Terms of Service ("Terms") govern your access to and use of the websites, web pages, and related online services operated by MissionEnable ("MissionEnable", "we", "us", or "our") that link to these Terms (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
These Terms are provided for operational clarity. They are not a substitute for legal advice. If you are entering a separate written agreement with MissionEnable (for example, for coaching, consulting, licensing, or a partner program), that agreement controls for the subject matter it covers, to the extent it conflicts with these Terms.
1. Changes to these Terms
We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If a change is material, we will make reasonable efforts to provide additional notice (such as a notice on the Services). Your continued use of the Services after the effective date of changes constitutes your acceptance of the revised Terms, except where prohibited by law.
2. Description of the Services
The Services are intended to provide general information about MissionEnable, our perspective on leadership and technology, and ways to contact us or explore offerings. Unless we expressly agree otherwise in a signed written contract, nothing on the Services constitutes an offer to sell services or a guarantee that any particular service, price, or availability will be honored.
Certain features (such as partner login or licensing inquiry flows) may be subject to additional terms, policies, or agreements presented at the point of use. In the event of a conflict between those materials and these Terms with respect to the specific feature, the more specific terms apply.
3. Eligibility
You must be able to form a legally binding contract in your jurisdiction to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
4. Accounts and security
If the Services allow or require you to create an account, you agree to provide accurate information and to keep your credentials confidential. You are responsible for activity that occurs under your account, except where caused by our gross negligence or willful misconduct. Notify us promptly at hello@missionenable.com if you believe your account has been compromised.
5. Acceptable use
You agree not to:
- Violate applicable law or infringe others' rights;
- Probe, scan, or test the vulnerability of the Services, or breach or circumvent security measures;
- Use the Services to distribute malware, engage in denial-of-service activity, send spam, or generate fraudulent or misleading traffic;
- Scrape, harvest, or collect data from the Services through automated means without our prior written consent, except as allowed by robots.txt or applicable law;
- Misrepresent your identity, impersonate others, or use the Services to harass, abuse, or harm others;
- Reverse engineer, decompile, or disassemble any non-open-source portion of the Services, except where prohibited by applicable law.
We may investigate and take appropriate action—including suspending access or cooperating with authorities—if we believe you have violated these Terms or created risk for us or others.
6. Intellectual property
The Services, including text, graphics, logos, layouts, trademarks, and other content, are owned by MissionEnable or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from the Services or our content without prior written permission.
7. Feedback
If you submit ideas, suggestions, or feedback about the Services or our offerings, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, disclose, and incorporate that feedback for any purpose without obligation to you, except where prohibited by law.
8. Third-party links and services
The Services may contain links to third-party websites or services. We do not control and are not responsible for third-party content, terms, or privacy practices. Your use of third-party services is at your own risk and subject to the third party's terms.
9. No professional relationship; not legal advice
Use of the Services does not create a consulting, coaching, therapeutic, legal, or other professional relationship. Content on the Services is for general informational purposes only and is not a substitute for professional advice tailored to your situation. You should consult qualified professionals before making decisions based on site content.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Some jurisdictions do not allow certain disclaimers; in those jurisdictions, our warranties are limited to the extent permitted by law.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MISSIONENABLE OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THE EXISTENCE OF MULTIPLE CLAIMS WILL NOT ENLARGE THIS LIMIT.
These limitations do not apply where liability cannot be excluded or limited under applicable law (for example, liability for death or personal injury caused by negligence, or fraud).
12. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless MissionEnable and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of third-party rights.
13. Termination; suspension
You may stop using the Services at any time. We may suspend or terminate access to the Services, in whole or in part, if we reasonably believe you have violated these Terms, created risk, or where required by law. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.
14. Export and sanctions
You may not use or export the Services except as authorized by United States law and the laws of your jurisdiction. You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive U.S. sanctions, or listed on any U.S. government restricted party list, unless authorized by law.
15. Governing law; disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, except that some jurisdictions may require application of local consumer protection laws that cannot be waived by contract.
Except where prohibited by applicable law, you agree that exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Services will lie in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits either party's right to seek injunctive relief in any court of competent jurisdiction.
16. General
- Entire agreement. These Terms constitute the entire agreement between you and MissionEnable regarding the Services and supersede prior understandings on the same subject, except for any separate written agreement that expressly references these Terms.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
- Electronic communications. You consent to receive communications from us electronically, including notices posted on the Services or sent to the email address you provide.
